Thank you for visiting ccwomenofcolor.org, operated by Corporate Counsel Women of Color, Radio City Station, P.O. Box 2095, New York, NY 10101-2095 (“CCWC”, “us”, or “we”). By using any of the websites operated by CCWC, including the CCWC Career Strategies Conference Virtual Conference Portal (the “Portal”) or the websites or portals operated by our affiliated entities, including Corporate Counsel Men of Color (“CCMC”) (collectively, the “Sites”), you acknowledge that you have read and agree to be bound by the following Terms, the Privacy Policy available at https://ccwomenofcolor.org/privacy-policy/, and with other specific policies provided to you by us.  Any such separate policy should be read together with these Terms of Use and the Privacy Policy and, in the event of a conflict between such separate policy and these Terms of Use, the separate notice shall control.  If you do not agree with these Terms you may not use the Sites.

I. DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

Unless specifically stated, nothing on the Sites other than these legal provisions constitutes an offer or contract of any kind.

We provide you with the content on the Sites as a courtesy to be used for informational purposes.  CCWC expressly disclaims any warranties regarding the Sites or their content.  CCWC neither represents nor warrants that (i) the Sites or their content are error free, free of viruses or other harmful components, (ii) defects will be corrected, and (iii) your use of the Sites will be uninterrupted.  The Sites are not intended to provide nor should you consider them as legal advice.

On the Sites you may see links or references to organizations other than CCWC, for example, in a list of sponsors’ names and logos, presenters’ names and organization logos, a job posting or award announcement.  CCWC does not endorse any of these organizations and their views are not CCWC’s views.

In no event will CCWC or any of its officers or associates be liable for any damages – whether direct, indirect, special, general, consequential, for alleged lost profits, or otherwise – that might result from any use of or reliance on materials or links made available on or through the Sites.

II. CONTENT USE AND RESTRICTIONS

Note: The Sites include 3 types of content: 

  • Most of the content on the Sites is publicly accessible without registering for an account (“Site Content”). Site Content excludes Portal Content.
  • Content in the Portal (“Portal Content”) is only accessible by registered conference attendees after creating a user account for the portal. Additional restrictions apply to Portal Content as described in this section. 
  • Users may post content in certain areas of the Portal, including ideas, comments, questions and other communications (“User Content”)

Site Content

Subject to these Terms, CCWC grants to You a limited, nonexclusive, personal license to access, view, download and print, solely for noncommercial and information purposes, Site Content.  Your licensed right to download Site Content is limited to any single computer only for your personal, noncommercial use, and must contain all copyright and other proprietary notices contained on the Site Content. You may not distribute, reproduce, republish, display, modify, transmit, reuse, repost, link to, or use any Site Content for public or commercial purposes on any other website or otherwise without CCWC’s written permission.

Site Content displaying images of people or places are either CCWC property or used by CCWC with permission.  You may not use these images without CCWC’s written permission.  Any unauthorized use of the images may violate copyright laws, trademark laws, the laws of privacy and publicity.

Portal Content

To access information and functionality in the Portal, you must be registered for the CCWC Event in which the Portal is offered and must create a user account on the Portal.  You are responsible for maintaining the confidentiality of your portal account username and password and for all activity under your portal account, and you may not transfer your portal account to another party. You warrant that all portal account registration information you provide to CCWC is accurate and CCWC requests that you update your portal account as necessary to keep it accurate and complete.  CCWC reserves the right to suspend or terminate any portal account immediately if we suspect you may not be complying with these Terms or any applicable law.  CCWC may also determine the length of time Portal Content is available and CCWC may remove access to Portal Content at any time.  CCWC may also suspend or terminate your portal account after the Portal Content is no longer available.

The Portal Content includes video and audio recordings, including of conference presentations, photos, documents, handouts, text, images, logos and other intellectual property related to CCWC and its affiliates or sponsors, all of which are either owned or licensed to CCWC.  Unlike Site Content, CCWC grants you a limited license to access and view Portal Content when logged in to the Portal.  Portal Content, including CLE presentations, may be not downloaded, reproduced, republished, recorded, distributed, publicly displayed or otherwise used without written permission from CCWC.  However, you may download and reproduce CLE presentation materials and slides for your personal use.

User Content

Portal account holders have the ability to post User Content in message boards, group areas, communities, and other features of the Portal that may be offered from time to time and may be operated by CCWC or by a third party. CCWC assumes no responsibility for the information contained in User Content.

You grant CCWC a perpetual, irrevocable, non-exclusive, royalty-free, transferable, worldwide license (with the right to sublicense) to copy, publicly perform, publicly display, distribute, create derivative works from, and otherwise use such User Content for any purpose on the Sites or in connection with CCWC’s non-profit mission.

You shall not post any confidential User Content or User Content containing personal information about any individual.  You shall not (nor cause any third party to) post any User Content on the Portal to conduct any illegal activities, including defaming, abusing, harassing, stalking, threatening, or otherwise violating others’ legal rights (including privacy rights.

Without limiting the generality of the previous paragraph, you shall not:

  • Post User Content that infringes another’s intellectual property rights; post User Content that you do not have the right to post; or transmit any material that contains viruses or any other computer code that may interrupt, destroy, or limit the functionality of the Sites.
  • Interfere with or disrupt the Portal or others’ use of the Portal, attempt to bypass or disable security or authentication measures.
  • Impersonate anyone or any entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
  • Advertise or disseminate commercial content or use CCWC content or User Content on the Portal for any commercial for-profit purpose.
  • Collect or store other users’ User Content or personal data about other users, except as needed for activities permitted on the Portal.

Subject to any applicable law and our Privacy Statement, any communications or User Content you send to CCWC via any of the Sites, the Portal or otherwise are not considered confidential, and CCWC is under no obligation to refrain from reproducing, publishing, or otherwise using them in any way or for any purpose related to the Sites or its users.  You shall be responsible for the content and information contained in any communication sent by you to the Sites or otherwise to CCWC, including without limitation for its truthfulness and accuracy.

III. GENERAL PROVISIONS & DISPUTE RESOLUTION

Governing Law

These Terms and the resolution of any dispute related to these Terms or the Sites shall be governed and construed in accordance with the laws of the United States and the laws of the State of New York applicable to contracts executed and performed within New York, without giving any effect to any conflict of laws rules that may result in the application of the laws of any other jurisdiction. These Terms are deemed executed and enforceable in the State of New York.

Binding Arbitration

If a dispute arises between you and CCWC, each party irrevocably agrees to (i) resolve the dispute through binding arbitration conducted in New York City, at CCWC’s discretion, in accordance with the rules of the American Arbitration Association (“AAA”), (ii) bring any dispute to enforce arbitration under these Terms or to pursue injunctive relief exclusively in the federal and state courts located in New York City and (iii) submit to the exclusive jurisdiction of those courts and waive any objection to the exclusive jurisdiction of those courts based on forum non-conveniens or other grounds. Each party will be responsible for its expenses and an equal share of the arbitrators’ fees and administrative fees of arbitration. Notwithstanding the foregoing, each party will have the right to seek temporary injunctive relief if it determines it is necessary in order to prevent irreparable harm (including infringement of any intellectual property). You agree that regardless of any statute or law to the contrary, any claim, or cause of action arising out of or related to the use of the Sites or these Terms must be filed within one (1) year after such claim or cause of action arose or be forever barred.

No Waiver

CCWC’s failure to enforce these Terms in every instance in which they might apply is not a waiver of any of CCWC’s rights, and CCWC reserves its right to take all legal steps available to enforce these Terms.

Site Intended for U.S. Residents

The Sites are intended for and directed to residents of the United States and all events advertised are only in the United States.
